Here are the answers to the most frequently asked questions:

How long does it take to set up a company in Switzerland?

Usually approx. 2-3 weeks, depending on the legal form and the completeness of the documents. It is often quicker with a shelf company.

Which legal form is right for me in Switzerland and how much capital do I need?

The most common forms are the GmbH (from CHF 20,000 capital) and the AG (from CHF 100,000 capital). We can advise you on which form is best for your needs.

Which legal form is the right one for my company in Switzerland?
This depends on liability, capital and business model. If you want to be liable with your private assets, you can set up a sole proprietorship or a general partnership. If liability is limited to the company's assets, a limited liability company or public limited company are suitable. The higher the risk or capital employed, the more likely it is that a GmbH or AG is recommended.

How much capital do I need to set up a company?

  • GmbH: CHF 20,000 (to be paid in full)

  • AG: CHF 100,000 (at least CHF 50,000 to be paid in)

  • Sole proprietorship/general partnership: no minimum capital
    The formation costs and notary fees vary depending on the legal form.

As a founder, do I have to be resident in Switzerland?

No, but you need at least one person resident in Switzerland with individual signing authority (e.g. board of directors). We can take on this role for you.

What does a company domicile in Zug cost?

The costs depend on the services required (mail service, meeting rooms, secretarial services). We will make you an individual offer. You will find a price overview at the top of this page and in the price list.

What tax advantages does the canton of Zug offer?

In the canton of Zug, the effective profit tax rate is around 11.8% - the lowest rate in Switzerland. This makes Zug one of the most attractive locations for companies in the whole of Europe.

What are the tax differences between the legal forms?

  • Sole proprietorship: Income & assets of the owner are taxed.

  • GmbH/AG: Taxation at company level (profit, capital) + dividends paid to the owner.
    A corporation can therefore be advantageous from a tax perspective, especially in the case of profits and reinvestments.

Do you also do the bookkeeping?

Yes, we offer ongoing bookkeeping, annual financial statements and personnel and payroll accounting. All in accordance with Swiss standards.

What do I need to bear in mind when it comes to bookkeeping?

  • Sole proprietorship: only required to keep accounts from an annual turnover of CHF 100,000

  • GmbH/AG: always required to keep accounts
    We take care of the bookkeeping and ensure that you meet all the requirements correctly.

Can you also accompany my private residence in Switzerland?

Yes, we provide support with location selection, tax advice, property search, permits and banking relationships.

What happens when I send the form?

Are there also flexible workplace solutions?

Am I automatically subject to auditing?

Not every company needs an audit. There are three levels:

  • Ordinary audit (for large companies with >250 employees or >40 million turnover)

  • Limited audit (standard for most GmbHs/AGs)

  • Waiver of audit ("opting out" possible if <10 employees and all shareholders agree)

What do I need to know about social insurance?

The Swiss system is based on three pillars (AHV/IV, occupational pension provision, private pension provision). As an entrepreneur, you must take care of your own contributions. Owners of limited liability companies or joint-stock companies are affiliated to unemployment insurance (ALV), but sole traders are not.

Can I move to Switzerland as a foreigner and set up a company?

Yes, the free movement of persons applies to EU/EFTA citizens. Third-country nationals need a residence or work permit, which is subject to certain criteria (qualifications, business plan, investments). We can advise you on all questions relating to permits.

What happens to my company if I retire or withdraw?

Different rules apply depending on the legal form. In the case of an AG/GmbH, the company can continue to exist or be transferred. Sole proprietorships end with the owner. Early planning (succession, inheritance, sale) prevents problems later on.
